Terms of Service
Last updated: August 5, 2026
1. Service Description
ClientSignal provides client operations and reporting software for PPC agencies. The standard software connects supported marketing data, surfaces the account, portfolio, engagement, delivery, and connection signals available on the applicable plan, and helps agencies create, review, and deliver client-ready reports. ClientSignal Managed combines Agency software with ongoing managed reporting operations and a grant-gated Attention workflow. A separately scoped Client Ops Founding Pilot may provide the same bounded Attention workflow for a fixed validation period. Attention capabilities are not included in a standard software plan unless expressly confirmed in writing. By using ClientSignal, you agree to these terms.
2. Account Responsibilities
You are responsible for maintaining the security of your account credentials and the accuracy of the information you provide. You must have authorization to connect advertising accounts and send reports to your clients on their behalf.
3. Acceptable Use
You agree not to:
- Use ClientSignal to send unsolicited communications or spam
- Misrepresent the source or nature of AI-generated reports
- Attempt to circumvent plan limits or billing
- Share your account credentials with unauthorized parties
4. AI-Generated Content
Reports and other AI-assisted artifacts are based on the supported metrics, account context, and other evidence available at the time of generation. For separately granted Client Ops pilot workspaces, these artifacts may include internal attention briefs. While we strive for accuracy, AI-assisted content may contain errors or misinterpretations. You are responsible for reviewing reports before they reach your clients, especially when using Review First mode, and for reviewing internal artifacts before relying on them. ClientSignal is not liable for business decisions made based on AI-assisted content.
5. Subscription and Billing
ClientSignal offers a permanent Free plan for up to 2 clients, with ClientSignal attribution in report footers, no payment card, and no trial expiration. Except for ClientSignal Managed, a first paid subscription requires a valid payment method in Stripe Checkout and includes a 14-day trial; the selected monthly or annual subscription price is not charged until that trial ends unless you cancel first. If Guided Onboarding is selected with that subscription, its $1,500 one-time service fee is charged immediately even though the recurring software price remains in trial. An owner of an active Starter, Growth, or Agency self-serve subscription may also purchase Guided Onboarding separately through Billing for the same one-time price. Reactivating a canceled subscription is charged immediately at the price shown in Checkout and does not include another trial; Guided Onboarding is purchased separately from Billing after reactivation. Paid plans include base client allotments. If you exceed your paid plan's base client count, overage billing applies per additional client ($5/mo Starter, $4/mo Growth, $3/mo Agency). Monthly subscriptions bill overages monthly. Annual subscriptions apply the same two-month discount and bill ten monthly overage units on the annual invoice. Paid subscriptions renew automatically on their selected monthly or annual cadence. You may cancel at any time, and access continues until the applicable paid period or trial ends.
Guided Onboarding is an optional $1,500 one-time service available only with Starter, Growth, or Agency software. It includes one kickoff, configuration of up to five eligible clients using features available on the selected plan, establishment of the report and voice defaults available on that plan, Review First setup, verification of the first eligible live test or delivery, and a documented handoff within the fixed implementation window shown or confirmed at purchase. It does not include monitored reporting cycles, recurring QA, priority issue investigation, future client configuration, monthly reviews, quarterly recalibration, or a weekly Attention brief. The service fee does not recur and is not added to ClientSignal Managed. Canceling or changing the related software subscription does not by itself cancel, refund, repeat, or extend Guided Onboarding; any cancellation or refund rights remain subject to the confirmed purchase scope and applicable law.
ClientSignal Managed is a sales-assisted managed-operations offer billed at $1,249 per month and does not include the 14-day self-serve trial. It includes full Agency plan entitlements for up to 50 active clients; ongoing managed reporting operations; up to two new eligible client configurations per month; QA review of five representative reports per month; investigation of failed deliveries and disconnected sources beginning by the end of the next business day; a 30-minute monthly reporting-operations review; quarterly agency-voice recalibration; and one weekly Attention brief manually reviewed and approved by ClientSignal, covering no more than five priority accounts in the active scope. For this target, business days are Monday through Friday excluding U.S. federal holidays; it is an investigation-start target, not a resolution guarantee. The brief reports supported evidence for agency review; it does not change campaigns, assign work, predict churn, or guarantee advertising, retention, engagement, or revenue outcomes. Additional active software clients are billed at $3 per client per month above 50. Managed has no separate $1,500 Guided Onboarding fee. The first monthly charge is collected immediately through an admin-issued ClientSignal Checkout. A generic invoice or Payment Link does not activate ClientSignal Managed, its Agency entitlement, or its Attention grant.
The Client Ops Founding Pilot is a temporary, sales-assisted fixed engagement for qualifying PPC agencies. It is not a standard software tier, does not itself activate ClientSignal Managed, and does not renew automatically. The published founding scope is $2,000 for up to five supported accounts and four weekly attention briefs manually reviewed by ClientSignal, subject to technical fit and written confirmation before purchase. The Attention workspace and weekly brief workflow are granted only to the enrolled workspace for the confirmed scope. If the customer begins ClientSignal Managed within 30 days after the pilot, the completed pilot serves as Managed implementation and no second setup fee is charged. A separate authorized Managed purchase is still required for the recurring subscription and entitlements.
6. Pricing
Founders pricing is available to the first 10 subscribers and is locked for at least 12 months from the subscription start date. It does not change automatically when month 12 ends. If ClientSignal later changes a founder subscription's price, the subscriber will receive at least 30 days' advance notice before the change takes effect.
7. Data and Privacy
Our handling of your data is governed by our Privacy Policy. By connecting advertising platform accounts, you grant ClientSignal permission to access read-only advertising data through those platforms' APIs.
8. Service Availability
We aim to deliver scheduled reports reliably and make granted workspace artifacts available when expected. ClientSignal depends on the third-party APIs used by the integrations supported and enabled for your workspace, so reports, signals, and Attention artifacts may be delayed or incomplete if those services experience outages or return incomplete data. A reserved plan entitlement or integration listed as coming soon is not a promise that the integration is currently available. We will notify you of integration issues that affect report delivery when appropriate.
9. Limitation of Liability
ClientSignal is provided “as is” without warranties of any kind. We are not liable for indirect, incidental, or consequential damages arising from your use of the service, including but not limited to lost revenue, client relationships, or data.
10. Data Processing
ClientSignal processes advertising and marketing metrics from the supported third-party platforms and integrations enabled for your workspace to provide the reporting and client-operations capabilities requested by your agency. Depending on your plan and separately granted Attention access, those capabilities may include reports, historical comparisons, portfolio and account signals, alerts, attention evidence, and internal weekly briefs. We act as a data processor on your behalf. Data may be fetched for generation or evaluation and stored as metrics snapshots and related operational records for historical reference, quality review, and the applicable workflow. We do not sell your advertising data or repurpose it for our own advertising.
11. Email Sending
By using ClientSignal, you authorize us to send AI-generated reports via email to the client email addresses you provide. You represent and warrant that you have the consent of each recipient to receive these communications. ClientSignal monitors email deliverability signals (bounces, complaints) and will automatically pause delivery to addresses that indicate issues. Abuse of email sending capabilities, including sending to invalid addresses or generating excessive complaints, may result in account suspension.
12. Data Retention
Report history and related customer-facing records are retained for the 90, 180, 365, or 730-day period selected in Agency Settings; the default is 365 days. The daily retention process permanently removes data beyond that window. Canceling a paid subscription stops future paid service but does not itself delete the account. Account deletion is separate: after password confirmation, ClientSignal makes the workspace read-only and durably reconciles supported connected-provider revocation, active-subscription cancellation, Storage deletion, primary database deletion, and owner authentication deletion. Temporary failures retry automatically. A credential-free reconciliation record remains for 30 days after completion; incomplete records remain until resolved.
Mailchimp authorized-app grants, user-managed Klaviyo private keys, and historical Slack incoming-webhook-only connections may require removal in the provider's own settings because the credential stored by ClientSignal cannot invoke a provider revocation API. ClientSignal records that limitation rather than representing those grants as revoked, and always removes its local credential copy. Processor backups and legally or operationally required billing, tax, dispute, fraud-prevention, security, abuse-prevention, email-delivery, suppression, and log records follow the applicable provider's retention requirements.
13. Data Processing Agreement (DPA)
For agencies that require a formal Data Processing Agreement to comply with GDPR, CCPA, or other data protection regulations, please contact us at support@clientsignal.io. We will provide a signed DPA that covers the scope of data processing, security measures, sub-processor disclosures, and data subject rights.
14. Termination
You may delete your account at any time from your settings page. A deletion request immediately ends normal workspace use and begins cancellation and erasure; external steps may finish asynchronously when a provider is unavailable. ClientSignal does not erase the billing reconciliation key until subscription cancellation is confirmed. Fees already paid are non-refundable except where required by law. We may suspend or terminate accounts that violate these terms. Suspension or subscription cancellation is not the same as account deletion, and retained account data remains governed by your selected retention window until deletion is requested.
15. Changes to Terms
We may update these terms from time to time. Material changes will be communicated via email to your registered address. Continued use of ClientSignal after changes constitutes acceptance of the updated terms.
